These Terms of Service ("Terms") govern your access to and use of the Bookgent platform ("Service") operated by COMMONSENSE IT LLC ("Company", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

By creating an account or using the Service in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.
2. Description of Service
Bookgent is an AI-powered tool that helps users organize, parse, and analyze tax-related documents. The Service is designed to assist with document management and data extraction.
Bookgent is not a tax preparation service. It does not file tax returns, submit forms to the IRS or any tax authority, or act as a licensed tax preparer on your behalf.
3. Alpha Software
The Service is currently in alpha. This means:
- Features may change, break, or be removed without prior notice.
- Data loss may occur. You should maintain your own copies of all documents.
- Uptime and availability are not guaranteed.
- The Service may be discontinued at any time.
4. No Professional Advice
Nothing provided by the Service constitutes tax, legal, financial, or accounting advice. AI-generated analysis may contain errors, omissions, or inaccuracies. You should always consult a qualified tax professional before making decisions based on information from the Service.
5. User Data and Ownership
You retain all ownership rights to the documents and data you upload to the Service. We claim no intellectual property rights over your content.
We store your data solely to provide and improve the Service. You may delete your data at any time through your account settings. Upon deletion, we will remove your data from our active systems within a reasonable timeframe.
6. Prohibited Uses
You agree not to:
- Use the Service for any illegal purpose.
- Upload documents belonging to others without their explicit consent.
- Attempt to reverse-engineer, decompile, or disassemble the Service.
- Interfere with or disrupt the integrity or performance of the Service.
- Use the Service to transmit malicious code or harmful content.
7. Intellectual Property
The Service, including its design, code, and branding, is the property of COMMONSENSE IT LLC. These Terms do not grant you any right to use our trademarks, logos, or other brand features.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY INFORMATION PROVIDED WILL BE ACCURATE OR COMPLETE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMMONSENSE IT LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
THIS INCLUDES, WITHOUT LIMITATION, LIABILITY FOR INCORRECT TAX INFORMATION, MISSED DEADLINES, OR ANY OTHER DAMAGES RESULTING FROM RELIANCE ON THE SERVICE.
10. Indemnification
You agree to indemnify and hold harmless COMMONSENSE IT LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
11. Modification of Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page with a revised "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in the State of New York.
13. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
